Governança corporativa: o estudo de caso da Empresa Gerencial de Projetos Navais (EMGEPRON) e as adequações decorrentes da aplicabilidade da Lei nº 13.303/2016

Abstract

This monograph addresses some of the aspects related to the topic of Corporate Governance, especially after the promulgation of Law 13.303/2016, which directly impacted the way State Companies are managed, especially those related to the EMPRESA GERENCIAL DE PROJETOS NAVAIS – EMGEPRON. The first chapter presents a summary of some activities considered relevant in the Company's more than 40 years of existence and a brief approach to EMGEPRON as a Strategic Defense Company. And, in order to have a better understanding of the development of the topic, the following chapters discuss the aspects of Corporate Governance, the pillars that are the fundamental principles that support the structure of a company, the responsibilities of the main governmental segment of control and monitoring of Governance of State-Owned Companies, the Secretariat for Control and Governance of State-Owned Companies - SEST and the extent to which sophisticated control mechanisms positively collaborate with the form of governance of State-owned companies. In this regard, through the Governance Indicator of that Secretariat, it was possible to analyze which aspects could be improved in EMGEPRON. It is added, in the following chapter, that possible changes to Law 13.303/2016, proposed through a Provisional Measure still in progress until the conclusion of this work, in the year 2023, have repercussions in some segments, including the Federal Senate, the Institutes and Associations specialized in the topic and the explanations of the possible impacts they could have on Society. In this context, the scope of these in the Governance of EMGEPRON. In conclusion, we intend to reaffirm the aspects of that Company's Governance and the contributions that can increase the levels of excellence.
